INTRODUCTION

In the second semester of second year you considered business entities/associations where you focused on different types of business entities/associations through which business may be conducted. Companies were, among the business entities/associations highlighted there. This module now gives a detailed overview of what a company is. It starts with a brief background on what a company and company law is. It looks at how companies are formed via incorporation. The module further examines what the effects of incorporating a company are, the management of a company, directors of a company and their role. The module proceeds on to exam issues of corporate insolvency, bankruptcy and winding up of a company.

OBJECTIVES

The objectives of this module are:

• To explain what a company and company law is
• To examine the process of company formation via incorporation 
• To examine what the effects of incorporation are
• To explain the process of managing a company
• To explain who directors are and their role in the management of a company
• To examine what corporate insolvency is
• To explain what bankruptcy is and how it arise
• To explain the process of company wounding up and the bases.
